Wallace advises Opia on its merger with Village Roadshow Ltd (VRL)

Wallace has recently advised Opia on its merger with Village Roadshow Ltd (VRL). VRL has acquired 80% of Opia for approximately £24 million. Opia is a leading international risk-managed sales promotions consultancy business based in the UK. In 2015, it announced its best financial performance to-date based on continued sustained organic growth. It operates in more than 60 countries including the UK, Europe and the US. It’s high-performance, data-driven sales campaigns are used by major blue-chip companies including major consumer electronics brands such as Samsung, Asus, HP, Dell, Lenovo and Motorola, as well as leading retailers such as Dixons Carphone, Euronics and Media World.

VRL’s investment will enable Opia to build and develop its innovative proposition in new and existing markets and provide an important springboard for future growth. Opia’s Managing Director Andrew Marwick and Sales Director Steve Gales will retain a 20% holding in the company and will continue to run the business on a day-to-day basis.

VRL is an Australian media and entertainment company. It runs businesses in cinema, theme parks, film production and distribution and is publicly listed on the Australian Securities Exchange. Opia will become part of Village Roadshow’s Digital Division.

The Wallace team worked all hours to steer us through this transaction in a very tight timescale. They really added value to the deal in ways that were unexpected.
— Andrew Marwick, Managing Director, Opia
