We have a wealth of experience in both buy-side and sale-side M&A deals, for many of which we are able to leverage our international network, Law Firm Alliance, and our other longstanding international relationships.

Sometimes relationships go wrong. We have steered many clients through shareholder and boardroom disputes, working closely with our heavyweight commercial litigation team where necessary.

Notable TRANSACTIONS

  • Over the last 24 months the corporate team has advised a number of owner-managed consulting businesses on sales to international consulting groups including Oliver Wyman, Sia Partners and Webhelp.

  • Advising technology clients on inward investment from private equity and on sales of majority stakes to international buyers, many of which are quoted companies.

  • Advising a longstanding hospitality client on a recent MBO (having originally advised management on the sale of a majority stake to a FTSE-quoted acquirer some years ago).

  • Advising the founding shareholders of ID Business Solutions, a world leading data management solutions software provider, mostly for the life science sector, on the sale to Danaher Corporation.

  • Advising the sellers and the management team in a private equity deal involving the sale of a majority shareholding in Livingstone Technologies to the Carlyle Group.

  • Representing the company and its shareholders on a court-approved corporate reorganisation of Martin’s Properties designed to create a single holding company and a streamlined group structure.
